1. Acceptance of Terms
By accessing or using PAYHROLL's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
2. Description of Services
PAYHROLL provides online payroll processing services, including but not limited to: payroll calculations, tax withholding and filing, direct deposit processing, employee self-service portals, and tax document generation.
3. Account Registration
To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Acceptable Use & Fraud Prohibition
PAYHROLL is designed exclusively for employers, authorized payroll agents, and self-employed individuals creating legitimate payroll records. By using this service, you represent and warrant that:
- You are an employer, authorized payroll representative, or self-employed individual
- All information you enter is truthful, accurate, and based on actual employment or self-employment
- You will not create pay stubs or payroll documents containing false, fabricated, or misleading information
- You will not use generated documents to misrepresent income, employment status, or any other facts
- You understand that creating fraudulent payroll documents is a federal crime under 18 U.S.C. § 1343 (wire fraud) and 18 U.S.C. § 1028 (fraud with identification documents), punishable by fines and imprisonment
We reserve the right to immediately terminate access for any user who violates these terms and to cooperate fully with law enforcement agencies investigating suspected fraud.
5. Your Responsibilities
As a user of PAYHROLL, you agree to:
- Provide accurate employee and company information
- Ensure sufficient funds for payroll and tax payments
- Review and approve payroll before processing
- Comply with all applicable employment and tax laws
- Maintain accurate records of hours worked and wages paid
- Notify us promptly of any errors or discrepancies
6. Fees and Payment
You agree to pay all fees associated with your subscription plan. Fees are billed monthly in advance. We may change our fees upon 30 days' notice. All fees are non-refundable except as expressly stated in these terms.
7. Tax Filing Services
PAYHROLL will file payroll taxes on your behalf based on the information you provide. You remain ultimately responsible for the accuracy of tax filings and payments. We are not responsible for penalties or interest resulting from inaccurate information provided by you or late approvals.
8. Limitation of Liability
To the maximum extent permitted by law, PAYHROLL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless PAYHROLL from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any law or rights of a third party.
10. Termination
Either party may terminate this agreement at any time. Upon termination, you remain responsible for any pending payroll or tax obligations. We will provide access to your data for a reasonable period after termination.
11. Intellectual Property
All content, features, and functionality of PAYHROLL are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission.
12. Privacy
Your use of PAYHROLL is also governed by our Privacy Policy, which is incorporated into these terms by reference.
13. Modifications
We may modify these terms at any time. Material changes will be communicated via email or through the service. Continued use after changes constitutes acceptance of the modified terms.
14. Governing Law
These terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
15. Law Enforcement Cooperation
PAYHROLL will cooperate fully with law enforcement agencies, regulatory bodies, and courts of competent jurisdiction in connection with any investigation of suspected fraud, identity theft, or other illegal activity. We may disclose user information, account data, transaction records, and generated documents when required by law, subpoena, or court order, or when we have a good-faith belief that disclosure is necessary to prevent fraud or other illegal activity.
